SK Online Agency — Seller Agreement
Introduction
Welcome to SK Online Agency. This Seller Agreement (“Agreement”) sets out the terms and conditions under which you (“Seller”) may list, offer and sell products and services on the SK Online Agency platform and related services. By creating a seller account, listing products, or accepting orders, you agree to be bound by this Agreement and all referenced policies, including our Terms & Conditions, Privacy Policy, and Refund & Returns Policy.
Definitions
- Platform — the SK Online Agency website, mobile apps, and related seller services.
- Seller — the person or entity registering to sell through the Platform.
- Buyer — the person or entity purchasing from the Seller via the Platform.
- Order — a confirmed purchase made by a Buyer for Seller’s goods or services.
Seller Account
To use seller features, you must register and maintain an account. You agree to:
- Provide accurate, complete and up-to-date information (including business registration where applicable).
- Keep account credentials secure and notify SK Online Agency immediately of unauthorized access.
- Maintain any licenses, permits, tax registrations required to sell on the Platform.
Product & Service Listings
When listing products or services you must ensure:
- Descriptions, prices, availability, images and delivery terms are accurate and not misleading.
- No listings infringe third-party intellectual property or applicable laws.
- You classify items correctly and use permitted categories and tags.
SK Online Agency may remove or disable any listing that violates this Agreement or Platform policies.
Fees & Payments
Sellers are responsible for fees and charges described during onboarding or in the Seller Dashboard. Key points:
- Platform commission (10%), service fees (5%), and payment processing fees (5 %) may apply.
- Payouts are made according to the payout schedule shown in the Dashboard and are subject to verification and holds for disputes or suspected fraud.
- Sellers are responsible for all applicable taxes and duties.
Order Fulfillment
Sellers must process and fulfill orders in a timely manner. Sellers agree to:
- Ship physical goods or provide services within stated timeframes.
- Use reliable packaging and carriers to protect goods in transit.
- Provide tracking information where applicable and update order status accurately.
Returns, Refunds & Cancellations
Returns, refunds and cancellations are governed by the Platform’s Refund & Returns Policy. Sellers must:
- Accept and process returns in accordance with that policy.
- Cover return shipping for defective, damaged, or incorrect items where required.
Performance Standards & Metrics
SK Online Agency monitors seller performance (e.g., order defect rate, on-time delivery, cancellation rate). Sellers failing to meet minimum standards may face warnings, penalties, reduced visibility, or suspension.
Intellectual Property
Sellers retain ownership of content they upload but grant SK Online Agency a non-exclusive, worldwide license to display and use such content to operate the Platform. Sellers must not use SK Online Agency trademarks without prior written permission.
Confidentiality & Data Protection
Sellers must protect confidential information and comply with the Privacy Policy. Personal data must be handled securely and only used for the purposes permitted by this Agreement.
Compliance, Warranties & Representations
Sellers represent and warrant that:
- They have the right to sell the listed products/services.
- Products meet descriptions and comply with laws, safety and regulatory requirements.
- They will not engage in unfair, deceptive or illegal practices.
Termination & Suspension
SK Online Agency may suspend or terminate seller accounts for policy violations, fraud, poor performance, or legal reasons. Upon termination, pending payouts may be withheld to cover refunds, chargebacks, or losses.
Indemnity & Liability
Sellers agree to indemnify and hold SK Online Agency harmless from claims arising from their listings, products, breach of this Agreement, or violation of laws. SK Online Agency’s liability is limited to direct damages and shall not include indirect or consequential damages.
Dispute Resolution
Parties will attempt to resolve disputes amicably. Where resolution fails, disputes will be governed by the laws and jurisdiction set out below. The Platform may, at its discretion, mediate buyer-seller disputes and make binding decisions for order resolution.
Amendments
SK Online Agency may update this Agreement from time to time. Material changes will be communicated to Sellers; continued use of the Platform constitutes acceptance of updated terms.
Governing Law
This Agreement shall be governed by the laws of Bangladesh. Any legal disputes shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh, unless otherwise agreed in writing.
