SK Online Agency — Seller Terms & Conditions

1. Definitions

For the purposes of these Terms:

  • Platform — the website, apps, and services operated by SK Online Agency.
  • Seller — an individual or business offering goods/services via the Platform.
  • Buyer/Customer — person or business purchasing from a Seller on the Platform.
  • Agreement — these Seller Terms & Conditions.

2. Eligibility to Sell

Sellers must: be at least 18 years old, provide accurate information, and comply with all applicable laws. SK Online Agency reserves the right to accept or reject seller registrations at its discretion.

3. Seller Responsibilities

Sellers are responsible for the accuracy of their listings, timely fulfilment of orders, customer service, and compliance with all laws and Platform policies. Sellers must ensure products/services match descriptions, and maintain professional communication with customers.

4. Product Listings

Sellers must not list counterfeit, illegal, or prohibited items. All listings should include accurate titles, descriptions, images, pricing, and stock availability. SK Online Agency may remove or suspend listings that violate these rules without prior notice.

5. Order Fulfillment

Sellers must ship or deliver services within the agreed timeframe. Any delays must be communicated promptly. Products should be safely packaged and meet the standards described in the listing. Repeated failure to fulfill orders may result in penalties or suspension.

6. Pricing & Payments

Sellers set their own prices. SK Online Agency may charge commissions or service fees (as agreed in the seller onboarding). Payments to Sellers will follow the payout schedule and terms specified in the Seller Dashboard.

Invoice Sellers must provide accurate invoices for all transactions.
Withholding Company may withhold payments for disputes, chargebacks, or suspected fraud.

7. Returns, Refunds & Disputes

Sellers must honor the Platform’s return policy. For defective or misdescribed items, Sellers are responsible for replacement or refund. SK Online Agency may mediate disputes and its decision will be binding where specified in Platform policies.

8. Prohibited Actions

  • No manipulation of reviews, fake orders, or bulk cancellations.
  • No direct solicitation of customers to bypass the Platform.
  • No listing of harmful, illegal, or restricted goods.

9. Intellectual Property

All Platform branding, content, and proprietary systems are owned by SK Online Agency. Sellers must not use SK Online Agency intellectual property without written permission. Sellers must ensure their listings don’t infringe third-party IP rights.

10. Confidentiality

Sellers shall keep confidential any non-public information received as part of the seller relationship (e.g., pricing, customer data) and shall not disclose it without prior written consent.

11. Account Termination

SK Online Agency reserves the right to suspend or terminate seller accounts for policy breaches, fraud, poor performance, or legal violations. Sellers may also request voluntary account closure.

12. Limitation of Liability

SK Online Agency will not be liable for indirect, incidental, special, or consequential damages resulting from a seller’s products or actions. Sellers bear responsibility for their own compliance, taxes, and legal obligations.

13. Amendments

These Terms may be updated periodically. SK Online Agency will notify Sellers of material changes and continued use of the platform constitutes acceptance of updated Terms.

14. Governing Law

These Terms are governed by the laws of [Bangladesh/Khulna]. Any disputes will be resolved in the appropriate courts of that jurisdiction.
